Terms of Service

The terms that govern your use of Hulp's mobile applications, website, and services.

1. Acceptance of these Terms

These Terms of Service (the "Terms") form a binding agreement between you and Secret Terry Private Limited (operating under the brand "Hulp"; "we", "our", "us"), governing your use of Hulp's mobile applications (iOS and Android), the website at hulp.in, and any related services (collectively, the "Service").

By creating an account, joining the waitlist, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.

2. The Service

Hulp provides a dedicated personal assistant service for Indian urban families. Your assistant ("PA") helps coordinate everyday household and family tasks — for example, meal planning, household-staff coordination, travel bookings, bill payments, medical appointments, child schedules, and home maintenance — by acting on your instructions.

Hulp is a coordination and assistance service. We do not own, operate, or directly provide the underlying third-party services (such as airlines, hotels, restaurants, cooks, drivers, doctors, repair technicians, or payment processors). Where the Service involves a third party, your PA acts on your behalf to arrange, book, or coordinate that service — but the underlying service itself is provided by the third party under its own terms.

3. Eligibility and account

• You must be at least 18 years of age and competent to contract under Indian law.
• You must provide accurate, current, and complete information when creating your account, and keep it up to date.
• You are responsible for safeguarding your phone, OTP, and any other credentials used to access the Service.
• You are responsible for all activity that occurs under your account. Notify us immediately at support@hulp.in if you suspect unauthorised access.
• One account is intended for one family or household. You may authorise family members or household contacts within your account, but you remain the registered user responsible for the account.

4. Acceptable use

When using the Service, you agree not to:

• Use the Service for any unlawful, fraudulent, harmful, harassing, or abusive purpose.
• Provide false, misleading, or inaccurate information.
• Use the Service to send spam, malware, or otherwise interfere with the Service or other users.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent permitted by applicable law.
• Resell, sublicense, or commercially exploit the Service or any part of it without our prior written consent.
• Attempt to gain unauthorised access to any part of the Service, our systems, or the accounts of other users.
• Use the Service in a way that violates the rights of any third party, including intellectual property, privacy, or contractual rights.

We may suspend or terminate your account, with or without notice, if you breach these Terms.

5. Third-party service providers

Your PA may arrange, book, or coordinate with third parties on your behalf — including but not limited to cooks, maids, drivers, plumbers, electricians, doctors, schools, airlines, hotels, restaurants, e-commerce platforms, and payment processors. These third parties are independent providers and are not employees, agents, or partners of Hulp.

Accordingly:

• The contract for the underlying service is between you and the third party.
• The third party's own terms, policies, prices, cancellation rules, and refund policies apply.
• Hulp does not guarantee the quality, availability, timeliness, conduct, or outcome of any third-party service.
• Hulp is not responsible for any loss, damage, injury, delay, or dispute arising out of a third-party service, except to the extent caused by our gross negligence or wilful misconduct.

6. Payments, subscriptions, and refunds

• Hulp may offer the Service on a paid subscription basis. Prices, plans, and billing cycles will be displayed in the app or on the website at the point of purchase.
• All payments are processed by a regulated third-party payment gateway. Hulp does not store your card or UPI credentials.
• Payments for third-party services (for example, flight bookings, restaurant orders, repair charges) are made through the relevant third party's own payment flow and are subject to that third party's own terms and refund rules.
• Refunds for Hulp's own subscription fees are governed by our Refund Policy.
• Indirect taxes (such as GST) will be applied as required by Indian law.

7. Intellectual property

All content, software, designs, graphics, trademarks, logos, and other materials that form part of the Service are owned by or licensed to Secret Terry Private Limited and are protected by Indian and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal, non-commercial purposes, subject to these Terms.

You retain ownership of any content you submit through the Service (for example, messages to your PA, photos, voice notes). You grant us a non-exclusive, royalty-free licence to use such content solely to operate, maintain, and improve the Service for you.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, store, and protect your information. By using the Service, you acknowledge that you have read the Privacy Policy.

9. Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Hulp disclaims all warranties of any kind, whether express or implied — including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

Hulp does not warrant that the Service will be uninterrupted, error-free, secure, or free from harmful components, or that any defects will be corrected.

10. Limitation of liability

To the maximum extent permitted by applicable law:

• Hulp shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, data, goodwill, or opportunity — arising out of or in connection with your use of the Service.
• Hulp's total aggregate liability arising out of or in connection with the Service shall not exceed the greater of (a) the amount of subscription fees paid by you to Hulp in the three (3) months immediately preceding the event giving rise to the claim, or (b) INR 5,000.

Nothing in these Terms limits liability that cannot be limited under applicable law (such as liability for gross negligence, wilful misconduct, or fraud).

11. Indemnity

You agree to indemnify, defend, and hold harmless Hulp, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms, (b) your misuse of the Service, (c) information you provide to us that is inaccurate or violates the rights of a third party, or (d) your dealings with any third-party service provider arranged through the Service.

12. Termination

You may stop using the Service at any time by closing your account — see Delete Account.

We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms, if we are required to do so by law, or if we discontinue the Service. Upon termination, the provisions of these Terms that by their nature should survive (including sections on intellectual property, disclaimer, limitation of liability, indemnity, and governing law) will survive.

13. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Subject to the grievance redressal mechanism set out below, the courts at Gurugram, Haryana shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top and, for material changes, notify you in-app or by email before the changes take effect. Continued use of the Service after a change indicates your acceptance of the updated Terms.

16. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
